End User License Agreement
This End User License Agreement (“EULA”) is between you and greenband.io. This EULA gives you the right to download and use our mobile application(s) (“Apps”). By downloading our Apps onto your device, you acknowledge that you’ve read these terms, understand them, and agree to be bound by them.
Ownership. You acknowledge and agree that the greenband Apps are provided under license, and not sold, to you. You do not acquire any ownership interest in the greenband Apps under this EULA, or any other rights thereto other than to use the greenband Apps in accordance with the license granted, and subject to all terms, conditions, and restrictions, under this EULA. greenband and its licensors and service providers reserve and shall retain their entire right, title, and interest in and to the greenband Apps, including all copyrights, trademarks, and other intellectual property rights therein or relating thereto, except as expressly granted to you in this EULA.
License. Subject to your compliance with this EULA, greenband grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to download, install, access and use the greenband Mobile Application and/or other applications offered by greenband (“greenband Apps”) and the content available on the greenband Apps on your personal or corporate-approved devices solely in connection with your use of greenband’s products or services. Any rights not expressly granted herein are reserved by greenband and greenband’s licensors.
Restrictions. You shall not (a) copy the greenband Apps, except as expressly permitted by this license; (b) modify, translate, adapt, or otherwise create derivative works or improvements, whether or not patentable, of the greenband Apps; (c) reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the greenband Apps or any part thereof; (d) remove, delete, alter, or obscure any trademarks or any copyright, trademark, patent, or other intellectual property or proprietary rights notices from the greenband Apps, including any copy thereof; (e) rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the greenband Apps, or any features or functionality of the greenband Apps, to any third party for any reason, including by making the greenband Apps available on a network where it is capable of being accessed by more than one device at any time; or (f) remove, disable, circumvent, or otherwise create or implement any workaround to any copy protection, rights management, or security features in or protecting the greenband Apps; or (g) use the greenband Apps if you are under the age of 16; or (f) use the greenband Apps in, or in association with, the design, construction, maintenance, or operation of any hazardous environments or systems, including any power generation systems; aircraft navigation or communication systems, air traffic control systems, or any other transport management systems; safety-critical applications, including medical or life-support systems, vehicle operation applications or any police, fire, or other safety response systems; and military or aerospace applications, weapons systems, or environments.
Termination. This EULA will terminate immediately if you breach any term of this EULA. Further, in the event of a termination or expiration of any agreement between greenband and a third-party content provider or licensor of all or a part of the services we provide, your right to access and use the Apps may also terminate or expire without prior notice. We also reserve the right to terminate this EULA for any reason and at any time, with or without notice. You may terminate this EULA at any time by notifying us in writing at info@greenband.io. Upon receipt of notice of termination, the license and your access to the Apps shall cease.
App Stores. You acknowledge and agree that the availability of the greenband Apps may be dependent on the third party from which you received the applicable greenband Apps’ license, e.g., the Apple iPhone or Android app stores (“App Store”). You acknowledge and agree that this EULA are between you and greenband and not with the App Store and that greenband is responsible for the provision of products and services as described in this EULA. However, if you downloaded the greenband Apps from the Apple App Store, Apple and its subsidiaries are third-party beneficiaries of this agreement. Upon your acceptance of this EULA, Apple shall have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof. This EULA incorporate by reference Apple’s Licensed Application End User License Agreement, for purposes of which, you are “the end-user.” In the event of a conflict in the terms of Apple’s Licensed Application End User License Agreement and this EULA, this EULA will control.
Updates/Features. greenband has no obligation to provide you with updates or upgrades to the greenband Apps and Services. greenband may remove or deprecate all or part of the features or functionality from the greenband Apps and/or Services at its sole discretion and without obligation or notice to you.
Safety. Do not use the greenband Apps during the operation of an automobile or any activity which requires your full attention. You must observe all traffic laws and only use the greenband Apps while your automobile is stationary and parked.
Accessing and Using the greenband Apps. It is not guaranteed that the greenband Apps, or any content therein, will always be available or be uninterrupted. Access to the greenband Apps is permitted on a temporary “as is” basis. All or any part of the greenband Apps, without notice, may be suspended, withdrawn, discontinued, removed or changed. greenband will not be liable to you if for any reason the greenband Apps (or any portion thereof) is unavailable (temporarily or permanently) at any time or for any period.
External Services. The greenband Apps may enable access to third-party services and websites (collectively and individually, "External Services"). You agree to use the External Services at your sole risk. greenband is not responsible for examining or evaluating the content or accuracy of any third-party External Services, and shall not be liable for any such third-party External Services. Data displayed by any greenband App or External Service, including but not limited to location information, is for general informational purposes only and is not guaranteed by us or our agents. You will not use the External Services in any manner that is inconsistent with the terms of this EULA or that infringes the intellectual property rights of greenband or any third party. You agree not to use the External Services to harass, abuse, stalk, threaten or defame any person or entity, and that greenband is not responsible for any such use. External Services may not be appropriate or available for use in any particular location. To the extent you choose to use such External Services, you are solely responsible for compliance with any applicable laws. greenband reserves the right to change, suspend, remove, disable or impose access restrictions or limits on any External Services at any time without notice or liability to you.
Open Source Software. Software embedded or accessed by the greenband Mobile Application may utilize open source software. Please see the Legal sections of either the greenband.io website or the greenband Apps for more information.
Collection and Use of Your Information. You acknowledge that when you download, install, or use the greenband Apps, greenband may use automatic means (including, for example, cookies and web beacons) to collect information about your mobile device and about your use of the greenband Apps. You also may be required to provide certain information about yourself as a condition to downloading, installing, or using the greenband Apps or certain of their features or functionalities. All information we collect through or in connection with the greenband Apps is subject to the privacy policy linked in the applicable app. By downloading, installing, using, and providing information to or through the greenband Apps, you consent to all actions taken by us with respect to your information in compliance with the applicable privacy policies.
Disputes. This EULA, its subject matter and its formation, and any related non-contractual disputes or claims, are governed by the laws of California, U.S.A., without regard to choice or conflict of law principles of any jurisdiction, except as may be applicable to your region or a specific service. These provisions are only intended to specify the use of California law to interpret this EULA, and these provisions shall not be interpreted as generally extending California law to you if you do not otherwise reside in California.
Warranty Disclaimer. EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR APPS ARE PROVIDED "AS IS" AND GREENBAND MAKES NO REPRESENTATIONS OR WARRANTIES. GREENBAND EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, OF ANY KIND, FOR THE PRODUCTS AND ANY OTHER MATERIAL PROVIDED TO USER BY THE COMPANY, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS. GREENBAND DOES NOT WARRANT THAT THE PRODUCTS ARE ERROR-FREE, THAT THEIR OPERATION WILL BE UNINTERRUPTED, OR THAT PRODUCTS WILL MEET ANY PARTICULAR USER REQUIREMENTS.
Limitation of Liability. TO THE EXTENT NOT PROHIBITED BY LAW, NEITHER GREENBAND, ITS AFFILIATES, AGENTS, OR LICENSORS, IF ANY, SHALL BE LIABLE FOR ANY CLAIM, DEMAND OR ACTION ARISING OUT OF, OR RELATING TO, YOUR USE OF THE APPS OR OUR PERFORMANCE OF (OR FAILURE TO PERFORM) ANY OBLIGATION UNDER THIS EULA OR FOR SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES DUE TO LOST REVENUES OR PROFITS, BUSINESS INTERRUPTION, OR OTHER DAMAGES CAUSED BY YOUR INABILITY TO USE THE APPS, EVEN IF GREENBAND, ITS AFFILIATES, AGENTS, OR LICENSORS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGES, AND WHETHER OR NOT SUCH LOSS OR DAMAGES IS OR ARE FORESEEABLE. IN NO CASES WILL GREENBAND’S TOTAL LIABILITY TO YOU EXCEED FIFTY DOLLARS ($50USD).
Waiver. No failure to enforce any term of this EULA shall constitute a waiver of such term in the future unless such waiver so provides by its terms.
Assignment. Neither this EULA nor any of your rights or obligations hereunder may be assigned by you in whole or in part without the prior written approval of greenband. Any other attempted assignment shall be null and void.
Severability. If any part of this EULA is for any reason found to be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions of this EULA shall not be affected and same shall remain in effect.
Entire Agreement. This EULA is the complete and exclusive statement of the agreement between you and greenband with respect to its subject matter, and supersedes and voids any proposal or prior agreement, oral or written, and any other communications between the parties in relation to its subject matter. No waiver, alteration or modification of this EULA shall be valid unless made in writing and signed by an authorized representative of greenband.

All information we collect through or in connection with the greenband Apps is subject to the privacy policy linked in the applicable app. By downloading, installing, using, and providing information to or through the greenband Apps, you consent to all actions taken by us with respect to your information in compliance with the applicable privacy policies.
Disputes. This EULA, its subject matter and its formation, and any related non-contractual disputes or claims, are governed by the laws of California, U.S.A., without regard to choice or conflict of law principles of any jurisdiction, except as may be applicable to your region or a specific service. These provisions are only intended to specify the use of California law to interpret this EULA, and these provisions shall not be interpreted as generally extending California law to you if you do not otherwise reside in California.
Warranty Disclaimer. EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR APPS ARE PROVIDED "AS IS" AND GREENBAND MAKES NO REPRESENTATIONS OR WARRANTIES. GREENBAND EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, OF ANY KIND, FOR THE PRODUCTS AND ANY OTHER MATERIAL PROVIDED TO USER BY THE COMPANY, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS. GREENBAND DOES NOT WARRANT THAT THE PRODUCTS ARE ERROR-FREE, THAT THEIR OPERATION WILL BE UNINTERRUPTED, OR THAT PRODUCTS WILL MEET ANY PARTICULAR USER REQUIREMENTS.
Limitation of Liability. TO THE EXTENT NOT PROHIBITED BY LAW, NEITHER GREENBAND, ITS AFFILIATES, AGENTS, OR LICENSORS, IF ANY, SHALL BE LIABLE FOR ANY CLAIM, DEMAND OR ACTION ARISING OUT OF, OR RELATING TO, YOUR USE OF THE APPS OR OUR PERFORMANCE OF (OR FAILURE TO PERFORM) ANY OBLIGATION UNDER THIS EULA OR FOR SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES DUE TO LOST REVENUES OR PROFITS, BUSINESS INTERRUPTION, OR OTHER DAMAGES CAUSED BY YOUR INABILITY TO USE THE APPS, EVEN IF GREENBAND, ITS AFFILIATES, AGENTS, OR LICENSORS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGES, AND WHETHER OR NOT SUCH LOSS OR DAMAGES IS OR ARE FORESEEABLE. IN NO CASES WILL GREENBAND’S TOTAL LIABILITY TO YOU EXCEED FIFTY DOLLARS ($50USD).
Waiver. No failure to enforce any term of this EULA shall constitute a waiver of such term in the future unless such waiver so provides by its terms.
Assignment. Neither this EULA nor any of your rights or obligations hereunder may be assigned by you in whole or in part without the prior written approval of greenband. Any other attempted assignment shall be null and void.
Severability. If any part of this EULA is for any reason found to be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions of this EULA shall not be affected and same shall remain in effect.
Entire Agreement. This EULA is the complete and exclusive statement of the agreement between you and greenband with respect to its subject matter, and supersedes and voids any proposal or prior agreement, oral or written, and any other communications between the parties in relation to its subject matter. No waiver, alteration or modification of this EULA shall be valid unless made in writing and signed by an authorized representative of greenband.
